Business Law

    The Hurley Stanners Business Law practice encompasses working with business clients in a variety of ways from creating new business entities; obtaining necessary business licenses, developing or reviewing contracts, including Employment Agreements, Distribution Agreements, Confidentiality and Non-Competition Agreements, License Agreements, Service Agreements and Franchise Agreements; buying or selling a business; obtaining bank financing; buying real estate for the client's business and working through other issues that businesses experience from time to time. 

    Our business practice is focused on the uniqueness of each company and on providing owners with the type of resources necessary to grow to the next level. We generally serve as outside general counsel to our clients, even our smallest clients!  Our holistic approach is important to all businesses.     

    Recently we have worked with clients dealing with commercial leases, distribution agreements, licensing issues, contractual disputes, internet-based sales tax lawsuits, international services agreements, web developer agreements and creating website content for e-commerce businesses.


Intellectual Property

    Hurley Stanners, LLC is excited to add an IP practice to its current legal service offerings. The Hurley Stanners' IP Department has over thirteen years of exeprience counseling clients, on any and all IP issues arising in the US and abroad, including patents, trademarks, copyrights, trade secrets and unfair competition. We advise our business clients on how patents and trademarks can set a client apart from the competition, and how an IP portfolio can protect and add to clients assets, as well as provide additional revenue for some businesses. 

    Our technical experience ranges from medical devices and chemical combinations to electrical and mechnical inventions. Our engineers and attorneys also have experience in buisness methods, computer processes, aeronautics and telecommunications. 

    In conjunction with helping clients acquire addtional intellectual property, we help clients license and enforce their IP in this competitive environment. We believe that the strongest IP portfolio is one that can also generate an income for the client. As an additonal service, we monitor and analyze the IP that competitors may have, and utilize on-staff and third - party engineers to help design around identified IP problems, or negotiate license agreements, when appropriate. 

    For our business, real estate and  entertainment clients , our new IP Department will also help protect the client's brand for the business, a product or a service  through  the registration of trademarks. We can advise the best approach to take to afford the client's goals. Here our understanding of a client's business and goals  through our day to day representation will allow us to provide a strategic approach to trademarking.


Commercial Real Estate

     Hurley Stanners, LLC works with developers of shopping centers, commercial property and residential real estate projects. Representation includes land acquisition, bank financing, real estate sale agreements and construction contracts and disputes, representation in the creation and negotiation of Land Leases and commercial Leases, Easement Agreements, creation of condominium documents, including the Property Report and Declaration in compliance with State and City laws and the representation of a condominium developer in the sale of units.

     Hurley Stanners, LLC represents several residential real estate developers and we are currently working on an exciting Hyde Park condominium project. Our commercial contractors are also busy with a number of issues. Further, we have a number of business clients looking to buy or lease new manufacturing and office space, given the deals that are currently available in the market at this time.


Creative Arts and Entertainment
    
     The firm's arts and entertainment practice varies broadly. Clients include production companies, graphic design companies, recording companies, musical artists, visual artists, fashion designers, stock photography companies, actresses, an assistant producer of a reality television show and others in the arts. 

    We recently negotiated an Option Agreement for a first time screenplay writer's adaptation of a classic novel. Our world class visual artist client, Nick Cave, recently needed a License Agreement negotiated for the use of one of his sculptural pieces on the artwork for a CD cover for a new musical group. We also worked with the family of a young actress to have a contract approved by the Court, as she is only 12 years old.
